1. ACCEPTANCE

These Terms of Service govern access to and use of the GoTech Solutions website and the services provided by GoTech Solutions.

By using the website, submitting an enquiry, requesting a quotation, accepting a quotation, or engaging GoTech Solutions for services, you agree to these Terms together with any written proposal, quotation, statement of work, invoice, or project-specific agreement issued for your engagement.

If a project-specific written agreement conflicts with these Terms, the project-specific agreement will control for that engagement.

2. ABOUT GOTECH SOLUTIONS

GoTech Solutions is a Nairobi-based consulting and digital services business serving businesses, startups, students, NGOs, researchers, and individuals.

5. PROJECT SCOPE

Each project is based on the agreed scope.

  • Work outside the agreed scope may require an additional fee and revised timeline.

Examples of scope changes include:

  • Additional pages, documents, features, datasets, designs, or deliverables.
  • Major changes after approval.
  • Additional research or fieldwork.
  • New integrations or technical requirements.
  • Additional revision rounds beyond the agreed allowance.
  • Urgent work requested after the project has started.
  • We will communicate material scope changes before proceeding where reasonably practicable.

6. CLIENT RESPONSIBILITIES

Clients are responsible for providing accurate information, materials, instructions, approvals, access credentials where required, and other resources reasonably necessary to complete the agreed work.

  • Clients must have the right to provide materials supplied to GoTech Solutions.

Delays caused by missing information, late feedback, unavailable approvals, inaccurate client information, third-party systems, or other matters outside our reasonable control may affect delivery dates.

Clients remain responsible for reviewing and approving final deliverables before publication, submission, deployment, printing, distribution, or other use.

7. TIMELINES

We agree project timelines based on the scope and information available.

The website states that many business-profile websites may be launched within 3–5 days. This is a general service description, not a guarantee. Actual delivery depends on scope, client responsiveness, content, approvals, integrations, hosting, domain configuration, third-party services, and other project conditions.

Where a specific deadline is agreed in writing, that deadline remains subject to the assumptions and dependencies stated in the project agreement.

8. FEES AND PAYMENT

Fees, deposits, payment milestones, taxes where applicable, and payment deadlines will be stated in the applicable quotation, proposal, invoice, or project agreement.

Unless the project agreement states otherwise, GoTech Solutions may pause work where an undisputed payment is overdue.

Third-party costs such as domain registration, hosting, paid software, stock assets, advertising spend, external data collection costs, printing, platform fees, or other external charges are not included unless expressly stated.

9. REFUNDS AND CANCELLATION

Refund and cancellation terms depend on the project agreement, the stage of work, work already performed, third-party costs incurred, and applicable Kenyan consumer protection law.

Where a consumer has a statutory right to a remedy, these Terms do not remove or restrict that right.

If a client cancels after work has started, GoTech Solutions may charge for completed work, committed third-party costs, and other amounts properly due under the project agreement.

  • Where a refund is agreed, the timing and amount will be communicated in writing.

10. REVISIONS AND APPROVAL

The number of included revision rounds, if any, will be stated in the project agreement.

A revision means a reasonable change within the agreed scope. A new direction, new deliverable, or material change in requirements may constitute additional work.

  • Once a client approves a final deliverable, later changes may be charged separately.

11. WEB DEVELOPMENT AND DIGITAL SERVICES

For web development projects, the client is responsible for providing or approving:

  • Domain ownership or registration information.
  • Hosting arrangements where applicable.
  • Business information and contact details.
  • Text, images, logos, trademarks, and other supplied materials.
  • Required third-party accounts and integrations.
  • Final content and legal notices.

Unless otherwise agreed, GoTech Solutions does not guarantee uninterrupted operation of third-party hosting, domain registrars, payment processors, APIs, messaging platforms, social networks, Google services, WhatsApp, or other external platforms.

12. WEBSITE CONTENT AND LEGAL COMPLIANCE

Clients remain responsible for the legality and accuracy of information they ask us to publish.

Where we build or update a website, the client is responsible for confirming that its privacy policy, terms, cookie notices, sector-specific disclosures, licences, registrations, consumer notices, accessibility statements, and other legal requirements accurately reflect the client's actual business and technology.

GoTech Solutions does not provide legal advice unless expressly agreed in writing through a qualified legal service arrangement.

13. RESEARCH, WRITING, AND ACADEMIC SERVICES

GoTech Solutions may provide research, writing, data analysis, editing, formatting, and related services.

These services are provided for legitimate purposes such as research support, business use, professional communication, planning, editing, analysis, and learning support.

We do not provide services intended to facilitate academic cheating, impersonation, plagiarism, fabrication of research data, falsification of results, submission of work on another person's behalf, examination taking, or other dishonest academic conduct.

Clients remain responsible for complying with the rules of their institution, funder, employer, regulator, publisher, or other relevant authority.

Research findings, statistical analysis, forecasts, grant proposals, business plans, and other professional deliverables are decision-support materials. They do not guarantee funding, investment, admission, publication, approval, revenue, profit, employment, or another specific outcome.

14. DATA ANALYSIS AND MODELLING

Data analysis and modelling depend on the quality, completeness, structure, and accuracy of the supplied or collected data.

GoTech Solutions will apply the methods agreed for the project, but no statistical model or forecast guarantees a particular future result.

Clients are responsible for confirming that they have lawful authority to provide datasets containing personal or confidential information.

15. FIELD DATA COLLECTION

Where field data collection is provided, the project agreement should identify the fieldwork scope, target population, locations, instruments, sample requirements, quality controls, timelines, and responsibilities.

Where personal data is collected for a client or research project, the parties will agree the applicable data protection roles and responsibilities.

The client remains responsible for securing any approvals, research permissions, ethical approvals, institutional permissions, participant information, consent requirements, or regulatory authorisations assigned to the client under the project agreement.

16. CLIENT MATERIALS

You retain ownership of materials you provide to GoTech Solutions, subject to rights you grant us for performing the agreed services.

You confirm that you have the necessary rights, permissions, licences, or authority to provide those materials.

You grant GoTech Solutions a limited right to use client-provided materials only as reasonably necessary to perform the agreed services, unless the project agreement states otherwise.

17. INTELLECTUAL PROPERTY

Unless a project agreement states otherwise, ownership of final client-specific deliverables will be governed by the payment and intellectual property terms in that agreement.

GoTech Solutions retains ownership of its pre-existing materials, templates, methods, processes, know-how, reusable components, code libraries, frameworks, and other materials developed independently of the client's project.

  • Third-party materials remain subject to their own licences and terms.

Where a project requires transfer of intellectual property rights, the transfer becomes effective only to the extent stated in the project agreement and after any required payment has been made.

18. PORTFOLIO USE

GoTech Solutions may wish to display completed work in its portfolio, website, social media, or marketing materials.

We will not publicly disclose confidential client information for portfolio purposes without appropriate permission where confidentiality or privacy obligations apply.

  • A project-specific agreement may prohibit portfolio use.

19. CONFIDENTIALITY

Each party should protect confidential information received from the other party.

Confidential information includes non-public business information, credentials, unpublished research, private client information, commercial information, and other information reasonably understood to be confidential.

Confidentiality obligations do not apply to information already public, independently developed, lawfully received from another source, or required to be disclosed by law.

20. PERSONAL DATA

Personal data is handled in accordance with the GoTech Solutions Privacy Policy and applicable Kenyan data protection law.

Where GoTech Solutions processes personal data on behalf of a client, the parties may need a separate data processing agreement or project-specific data protection terms.

  • Clients must not provide unnecessary personal or sensitive information.

21. THIRD-PARTY SERVICES

The website and our projects may involve third-party platforms such as Google services, WhatsApp, hosting providers, domain registrars, cloud services, payment providers, analytics services, APIs, content delivery networks, and other external services.

  • Third-party services are subject to their own terms and privacy policies.

GoTech Solutions is not responsible for changes, outages, security incidents, suspension, pricing changes, or other events caused by third-party platforms outside our reasonable control.

23. NO GUARANTEE OF BUSINESS RESULTS

We do not guarantee funding approval, business success, investment, sales, search rankings, website traffic, employment, academic results, grant awards, regulatory approval, or any other specific outcome unless an express written agreement lawfully provides otherwise.

24. DISCLAIMER OF WARRANTIES

To the extent permitted by law, the website and general website information are provided without a guarantee that the website will always be uninterrupted, error-free, complete, or available.

Nothing in these Terms excludes a legal warranty, statutory right, consumer guarantee, or remedy that cannot lawfully be excluded or limited.

25. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, GoTech Solutions will not be liable for indirect, incidental, special, consequential, or unforeseeable losses arising from website use or a project, except where liability cannot lawfully be excluded.

Nothing in these Terms excludes liability for fraud, wilful misconduct, or any other liability that cannot lawfully be excluded or limited.

Any project-specific limitation of liability must comply with applicable Kenyan law and consumer protection requirements.

26. INDEMNITY

To the extent permitted by law, a client agrees to protect GoTech Solutions from third-party claims arising directly from unlawful client-provided materials, unauthorised use of third-party intellectual property, unlawful instructions, or the client's breach of these Terms.

This section does not require a client to indemnify GoTech Solutions for GoTech Solutions' own unlawful conduct.

27. FORCE MAJEURE

Neither party is responsible for delay or failure caused by events outside reasonable control, including major internet outages, cyber incidents affecting external providers, power failures, natural disasters, government action, civil disturbance, platform outages, or other events outside reasonable control.

  • The affected party should communicate material delays when reasonably practicable.

28. SUSPENSION OR TERMINATION

GoTech Solutions may suspend or terminate access to the website or a service engagement where reasonably necessary because of non-payment, unlawful activity, security threats, abusive conduct, material breach, or other circumstances permitted by the project agreement or law.

A client may terminate a project according to the cancellation terms in the applicable project agreement.

  • Termination does not remove rights or obligations that accrued before termination.

29. DISPUTE RESOLUTION

The parties should first attempt to resolve a project dispute through good-faith communication.

Where appropriate, the parties may agree to mediation or another alternative dispute resolution process before commencing court proceedings.

Nothing in this clause prevents a party from seeking urgent legal relief or exercising a statutory right.

30. GOVERNING LAW

These Terms are governed by the laws of Kenya, subject to any mandatory consumer protection or other legal rights that apply to a particular transaction.

Courts with appropriate jurisdiction in Kenya will have jurisdiction over disputes, subject to any valid agreement to use mediation, arbitration, or another lawful dispute resolution mechanism.

31. CHANGES TO THESE TERMS

We may update these Terms when our services, website, technology, or legal requirements change.

The latest version will be published on this website with the effective date shown at the beginning.

32. SEVERABILITY

If a provision of these Terms is found to be unlawful, invalid, or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

33. ENTIRE AGREEMENT FOR WEBSITE USE

These Terms, together with the Privacy Policy and any applicable project-specific agreement, form the general terms governing website use and services unless a separate written agreement expressly states otherwise.
